These terms do not govern any engagement between Velzyx and a customer; engagement terms are addressed in separate written contracts entered into with the customer at the time of engagement.
About these terms
These terms are a binding agreement between you, as a visitor to the site, and Velzyx AI Inc., a Delaware corporation with its principal place of business at 5000 Birch St, Suite 3000, Newport Beach, California 92660. In these terms, "Velzyx," "we," "us," and "our" refer to Velzyx AI Inc., and "you" refers to the individual or entity accessing the site.
The terms cover the public website only. They do not constitute a customer engagement, a professional services contract, an offer to provide services, or an agreement to perform engineering work. Engagement contracts are separate documents executed in writing between Velzyx and a specific customer for a specific scope of work, and those contracts will control the relationship between Velzyx and that customer.
Eligibility
You must be at least sixteen years old to use the site. If you are using the site on behalf of an organization, you represent that you have authority to bind that organization to these terms. The site is intended for a professional audience and is not directed to children.
Acceptable use
You may read, view, link to, and quote reasonable excerpts from the site for the purpose of evaluating Velzyx, communicating about Velzyx, or referencing Velzyx in commentary, scholarship, or journalism, subject to the intellectual property terms below.
You agree not to use the site for any of the following purposes. Attempting to gain unauthorized access to the site, to any account, or to the systems underneath the site. The site and the content on it, including the text, layout, graphics, and code, are owned by Velzyx or licensed to Velzyx, and are protected by intellectual property laws. The names "Velzyx," "Aria," "AgentCentric," "AnalytixCRE," and the related brand marks are trademarks of Velzyx. You may not use Velzyx trademarks without our prior written consent, except to refer to Velzyx accurately in commentary or journalism.
You may quote short excerpts from the site for the purposes described in the acceptable use section, provided that you attribute the quote to Velzyx and link to the source page. You may not republish substantial portions of the site, create derivative works from the site, or use the site's content in a manner that suggests endorsement by Velzyx, in each case without our prior written consent.
If you provide feedback, ideas, or suggestions to the studio about the site or about our work, we may use that feedback freely for any purpose without obligation to you, provided that we will not publicly attribute the feedback to you without your consent.
Communications you initiate
When you contact the studio through a form, by email, or through any other channel made available on the site, you are responsible for the accuracy of the information you provide. To the fullest extent permitted by applicable law, Velzyx disclaims all warranties of any kind, whether express or implied, with respect to the site and its content, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and uninterrupted availability. We do not warrant that the site will be free from errors or that defects will be corrected. We do not warrant that the site or the servers that make it available are free from harmful components. Limitation of liability

Velzyx is not responsible for the content, privacy practices, or availability of any linked site, and your use of any linked site is governed by the terms of that site.
Termination
We may suspend or terminate your access to the site at any time, with or without notice, for any reason or no reason, including for any conduct we believe in our reasonable judgment violates these terms or applicable law. You may stop using the site at any time. The provisions of these terms that by their nature should survive termination, including the intellectual property, disclaimer, limitation of liability, indemnification, and governing law sections, will survive.
Modifications
We may update these terms from time to time. When we do, we will update the effective date at the top of the page. Material changes will be communicated by publishing a clearly marked notice on this page for a reasonable period. Governing law

Dispute resolution and jurisdiction

If a dispute cannot be resolved informally, the parties consent to the exclusive jurisdiction of the state and federal courts located in Orange County, California, and waive any objection to the laying of venue in those courts on grounds of inconvenient forum or otherwise. Each party will bear its own costs and attorneys' fees, except where applicable law provides otherwise.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
Miscellaneous
These terms, together with the documents they reference, are the entire agreement between you and Velzyx regarding your use of the site, and they supersede any prior agreements regarding that subject matter. If any provision of these terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect. No waiver of any provision will be effective unless made in writing by Velzyx, and no waiver of any breach will constitute a waiver of any subsequent breach.
You may not assign or transfer these terms or any rights under them without our prior written consent. We may assign these terms in connection with a merger, acquisition, sale of assets, or by operation of law, in which case the successor entity will be bound by these terms.
